THAT:Council does now go into closed session at 6:04 p.m. to discuss the following: (a) Property & Legal Matters (Section 239 (2)(c) - proposed or pending disposition of land by the municipality) and Section 239 (2)(f) - advice that is subject to solicitor - client privilege, including communications for that purpose) Re: Crystal Beach Gateway Project - 4155 Erie Road (Confidential Report No. CS-22-10 and Confidential Memorandum by Town Solicitor) (i) Community Benefits Agreement (S. 37 Planning Act) between Town and Molinaro Group Crystal Beach Waterfront Inc. (ii) Agreement of Purchase and Sale between Town and Molinaro Group Crystal Beach Waterfront Inc. (

THAT:Paragraph 5 of the recommendations be amended by deleting the words “completion of any matters provided for in the said Agreements including.” (

THAT:The Community Benefit estimate for the value of the reconstruction of Erie Road be reduced to 25% of $421,900. (

THAT:The Town enter into an Agreement of Purchase and Sale and a Community Benefits Agreement pursuant to Section 37 of the Planning Act with Molinaro Group Crystal Beach Waterfront Inc., for the lands identified as Parcels 2, 3 and 4 on the Draft Plan attached to Report No. CS-22-10, and upon the terms and conditions outlined in Report No. CS-22-10, in a form satisfactory to the Town Solicitor, and THAT:The Mayor and Clerk be authorized and directed to execute the Agreement of Purchase and Sale and Community Benefits Agreement and affix the corporate seal thereto, and THAT:The Town Solicitor be authorized and directed to execute the Transfers and all ancillary documentation necessary to complete the transactions contemplated in the Agreement of Purchase and Sale and Community Benefits Agreement, and THAT:The Town Solicitor and Director of Infrastructure Services be delegated joint authority to grant, accept and release all easements required to complete the Crystal Beach Gateway Project, including the execution of all documents related thereto, and THAT:The Town Solicitor be delegated authority to negotiate and agree to reasonable extensions of the time for closing dates, if necessary, and to execute any documentation required to affect same, and THAT:The Town Solicitor be authorized and directed to make the Agreement of Purchase and Sale and the Public Benefits Agreement available to the public upon request, following execution of same by both parties, and THAT:The Town con
